Corporate finance and M&A advisory, in plain terms

Corporate finance is the work around a transaction: whether to do one at all, how to prepare the business for it, who the right counterparty is, and what the terms should be. M&A advisory, mergers and acquisitions, is the part of that work concerned with buying and selling companies. Depending on who is describing it, the same work is called corporate finance advisory, M&A advisory services or M&A consultancy. It is the same work.

Sell side, when you are the one selling

We act for the shareholders. We start with what the shareholders want from a sale, prepare the business and its numbers, identify the acquirers most likely to value it, run the process and negotiate the structure and the terms, so you can keep running the company while the process runs.

Buy side, when you are the one buying

We act for the acquirer. We start with the acquisition strategy and the brief, then approach the businesses that fit it, including businesses that are not for sale when we call.

Questions founders ask about our services

What does a corporate finance adviser do?

Corporate finance covers the money decisions around a business: what it is worth, how to grow its value, how to fund it, and how to sell or buy one. We advise on all four.

Is corporate advisory the same as investment banking?

They overlap. Investment banking usually means large, listed transactions. Corporate advisory covers the same work for private, founder-led companies, which is who we act for.

What is the average fee for an M&A adviser?

It varies with the size and complexity of the work, and typically combines a retainer with a success fee. We set out what an engagement involves and what it costs before you commit to anything.

What is the difference between sell side and buy side M&A?

Sell side means we act for the owner selling, finding the right buyer and the right terms. Buy side means we act for the acquirer, finding and approaching targets. We do both.

When should a founder start talking to an M&A adviser?

Earlier than most do. The things that lift a valuation, recurring revenue, client spread and a team that runs without you, take time to build. Starting early is what creates the choice.
